Terms of service

These Terms of Service ("Terms") govern your access to and use of EazyBroker's software and services ("Service"). By creating an account, clicking to accept, or using the Service, you agree to these Terms.

1. The Service

EazyBroker provides software tools to help brokerage desks manage parties, transactions, interest, brokerage, bills, ledgers, and related workflows. Features may vary by workspace configuration, transaction mode, and deployment settings.

2. Eligibility and accounts

You must be legally able to enter a binding contract in your jurisdiction. You are responsible for the accuracy of registration information, maintaining the confidentiality of credentials, and all activity under your account. Notify us promptly of unauthorized use.

3. Customer data and responsibilities

You retain rights to data you submit to the Service. You grant us a limited license to host, process, transmit, and display that data solely to provide the Service. You represent that you have all rights and consents needed to submit party and financial data and that your use complies with applicable laws (including privacy, marketing, and financial regulations).

4. Acceptable use

• No unlawful, fraudulent, or deceptive activity.
• No attempts to probe, scan, or test vulnerabilities without authorization.
• No interference with the Service, other users, or underlying infrastructure.
• No reverse engineering except where permitted by mandatory law.

5. Third-party services

The Service may integrate with third-party providers (such as email, databases, or hosting). Those providers are governed by their own terms, and we are not responsible for their acts or omissions.

6. Availability and changes

We strive for reliable operation but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features with reasonable notice where practicable. We may update these Terms; continued use after changes become effective constitutes acceptance.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. EAZYBROKER DOES NOT PROVIDE LEGAL, TAX, OR FINANCIAL ADVICE; OUTPUTS ARE TOOLS ONLY AND MUST BE REVIEWED BY QUALIFIED PROFESSIONALS.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EAZYBROKER AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED US DOLLARS (USD $100) IF NO FEES APPLIED.

9. Indemnity

You will defend and indemnify EazyBroker and its affiliates, officers, and employees from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your data, your use of the Service, or your violation of these Terms or applicable law.

10. Termination

You may stop using the Service at any time. We may suspend or terminate access for violations, risk, or legal requirements. Provisions that by their nature should survive will survive termination.

11. Governing law

These Terms are governed by the laws of India, excluding conflict-of-law rules, unless a different governing law is agreed in a separate written contract between you and EazyBroker. Courts located in India shall have exclusive jurisdiction, subject to mandatory consumer protections where applicable.
